Offer Agreement
PUBLIC AGREEMENT (OFFER) on ordering, purchase and delivery of goods
This agreement is an official and public offer by the Seller to conclude a contract for the purchase of goods presented on the website courier-pack.com.ua. This agreement is public, meaning that, in accordance with Article 633 of the Civil Code of Ukraine, its terms are the same for all buyers, regardless of their status (individual, legal entity, or sole proprietor) without giving preference to one buyer over another. By entering into this Agreement, the Buyer fully accepts the terms and procedure for placing an order, paying for goods, delivering goods, returning goods, liability for bad faith orders, and all other terms of the agreement. The agreement is considered concluded at the moment the Buyer clicks the “Confirm Order” button on the checkout page in the “Cart” section and receives an electronic order confirmation from the Seller.
- Definitions
1.1. Public offer (hereinafter referred to as “Offer”) – a public proposal by the Seller addressed to an indefinite number of persons to conclude a sales contract remotely (hereinafter referred to as the “Agreement”) on the terms contained in this Offer.
1.2. Product or Service – the subject of the transaction chosen by the Buyer on the website of the online store and placed in the cart or already purchased remotely from the Seller.
1.3. Online Store – the Seller’s website at courier-pack.com.ua, created to conclude retail and wholesale sales contracts based on the Buyer’s review of the Seller’s offered Product via the Internet.
1.4. Buyer – a legally capable individual who has reached 18 years of age, who receives information from the Seller, places an order to purchase goods on the website for purposes not related to business activity, or a legal entity or sole proprietor.
1.5. Seller – LLC “COURIER- PACK” (EDRPOU Code 38768602), established and operating in accordance with Ukrainian law, with the legal address: 36008, Poltava region, Poltava, Shevchenkivskiy district, Polska Street 2B, office 312.
- Subject of the Agreement
2.1. The Seller undertakes to transfer ownership of the Product to the Buyer, and the Buyer undertakes to pay for and accept the Product under the terms of this Agreement.
2.2. The date of conclusion of this Offer Agreement (acceptance of the offer) and the moment of full and unconditional acceptance of the Agreement by the Buyer shall be considered the date the Buyer fills out the order form on the Online Store’s website and receives electronic order confirmation from the Seller. Upon request, the Agreement may be formalized in writing.
- Order Placement Procedure
3.1. The Buyer independently places an order in the online store by filling out the electronic order form.
3.2. The Seller has the right to refuse to process the order if the data provided by the Buyer is incomplete or raises suspicion regarding their authenticity.
3.3. When placing an order, the Buyer agrees to the terms of this Agreement by ticking the box in the “I agree with the terms of the Public Offer Agreement” field and clicking the “Confirm Order” button.
3.4. After placing the order, the Buyer receives an email confirming the order with details about the product, delivery, and total order value.
- Price and Payment Procedure
4.1. Prices for goods and services are determined by the Seller independently and indicated on the online store’s website.
4.2. Prices for goods and services may change depending on market conditions, which is reflected on the website. The Seller may not change the price for a specific Buyer who has already accepted the Seller’s terms and made payment in accordance with this Agreement.
4.3. The Buyer pays for the order using one of the methods specified in the online store.
4.4. The Buyer is obliged to make full payment for the goods before their shipment, unless otherwise agreed with the Seller.
4.5. The payment obligation of the Buyer is considered fulfilled at the moment the Seller receives confirmation of crediting funds to their account.
- Delivery
5.1. Delivery of goods is carried out by transport companies or postal services at the Buyer’s expense to the address indicated in the order.
5.2. The Seller undertakes to ship the goods to the Buyer within the time limits agreed upon at the time of order confirmation.
5.3. Risk of accidental loss or damage to the goods passes to the Buyer from the moment of transfer to the delivery service.
5.4. Upon receipt of the goods, the Buyer is obliged to check them for compliance with the order and the absence of external damage.
- Exchange and Return
6.1. The Buyer has the right to exchange or return the goods in accordance with the legislation of Ukraine.
6.2. Return of goods is carried out at the Buyer’s expense unless the goods are of improper quality.
6.3. The returned goods must be in their original packaging, unused, and with accompanying documentation.
6.4. The refund is made by the Seller within 7 (seven) working days after receiving the returned goods.
- Responsibility of the Parties
7.1. The Parties are responsible for non-fulfillment or improper fulfillment of the terms of this Agreement in accordance with current legislation of Ukraine.
7.2. The Seller is not responsible for delivery delays caused by the work of delivery services or incorrect information provided by the Buyer.
7.3. The Buyer is fully responsible for the accuracy of the information provided when placing an order.
- Confidentiality and Protection of Personal Data
8.1. By providing their personal data on the website when registering or placing an order, the Buyer gives their voluntary consent to the processing of their personal data by the Seller.
8.2. The Seller undertakes not to disclose information received from the Buyer to third parties except in cases provided by the current legislation of Ukraine.
8.3. The Buyer is responsible for maintaining the confidentiality of their login and password to access the site and undertakes not to transfer them to third parties.
- Duration of the Agreement
9.1. This Agreement enters into force from the moment of its acceptance by the Buyer and is valid until the Parties fully fulfill their obligations.
9.2. All disputes arising between the Parties are resolved through negotiations. In case of failure to reach agreement, the dispute is referred to a court in accordance with the legislation of Ukraine.
9.3. The Seller has the right to make amendments to this Agreement unilaterally, as provided in clause 5.2.1 of the Agreement. In addition, amendments to the Agreement may also be made by mutual consent of the Parties in accordance with the procedure established by the current legislation of Ukraine
